Terms of Use

The terms of use are intended to stipulate necessary conditions to use the photo and video download platform (hereinafter “the Service”) that imagehokkaido of AUTOGRAPH LLC. operates (hereinafter “the Company”).

1.

Users who wish to use the Service (hereinafter “the User”) must accept the contents of this agreement and the privacy policy of the Service, and follow the procedures prescribed by the Company to register for the use of the Service.

2.

The persons listed under the following items are not allowed to register to use the Service.

(A)

A person who has violated these terms or who has been deleted in the past.

(B)

A person who is or was a member of an organized crime group, or any other person or group engaged or involved in organized crime within the past 5 years. A person who is a sub-member of these groups, a member of a corporation related to these groups, corporate extortionists, social activists, and other related groups. (hereinafter collectively referred to as “the Antisocial Force”)

(C)

A person having the following relationships.

a.

Relationships that show the Antisocial Force controls the person’s management.

b.

Relationships that show the Antisocial Force’s substantial involvement in the person’s management.

c.

Relationships that show reliance on the Antisocial Force to unfairly benefit him/herself or third parties, or to damage a third party.

d.

Relationships that show the person supports the operation and maintenance of the Antisocial Force by providing funds, benefits, etc.

e.

Any socially unacceptable relationships with the Antisocial Force.

(D)

A person deemed inappropriate by the Company in addition to any of the preceding items.

Copyrights of the photos and videos on this platform belong to AUTOGRAPH LLC. or the creator who took them. Credit must be given adjacent to the photo or video upon using them.

As a general rule, the User can freely edit and process the photos and videos of this platform as described in the FAQs on our website. However, significant alterations such as those specified in the following items are prohibited.

(A)

To cut out and use only the person in the photo or video (e.g. to use as an icon on a social media site, on a blog, etc.).

(B)

To delete products, buildings, the name of products, or signboards in the photos or videos.

The User shall not commit the acts listed in any of the following items.

(A)

To infringe on the rights of an image, personality, public trademark, copyright, and other rights by cutting out or trimming a specific object.

(B)

To publish the photos or videos of this platform as works taken by the User or a third person who does not have the copyright (including social media posts).

(C)

To use the photos or videos in a way that makes an impression that the people in the photos or videos belong to or agree/disagree with certain religious, political, or thought groups.

(D)

To use the photos or videos on pornographic websites or dating sites.

(E)

To use the photos or videos in articles or blogs that criticize other people or companies.

(F)

To use the photos or videos in relation to the Antisocial Forces and illegal acts such as fraud.

(G)

To redistribute or sell the photos or videos as your own contents or products.

(H)

To reprint the photos or videos on similar photo stock sites (including reselling them).

(I)

Other acts that may be deemed inappropriate by the administrator of the Service or the Company.

The User may cancel this contract by following the procedure prescribed by the Company. However, the clauses in this contract remain effective for downloaded photos and videos after the cancelation.

2.

If the User performs an act against the terms of use or the objective and aim of the Service, the Company may alert the User by notification or immediately discontinue their use and cancel the whole or part of the contract without any notification. In such cases, the Company will not interfere with any claims for damages against the User.

Excluding cases of willful action or gross negligence, the Company shall not be liable for any trouble that occurs in connection with the use of the photos or videos on this platform.

If the User commits any of the violations listed in the Article 5, the User shall pay a penalty of 100,000 JPY per content related to the violation. However, if the damage occurred to the Company exceeds 100,000 JPY, the excess shall be paid by the User.

If the User damages the Company by acts not listed in Article 4, the User shall compensate the Company for the damage.

The Service prohibits sharing an account with anyone other than the User if the User is an individual, and with a third party inside or outside the organization if the User is an organization.

The account of the Service is not transferable to a third person.

The Service is available to the User who has been introduced by another User or who has applied to the Company directly. However, use may be declined based on our original screening standard.

2.

We cannot answer questions regarding the examination criteria in the preceding paragraph or the content of judgment of individual results based on the examination criteria.

The Service can be used free of charge after agreeing to the terms of the contract with the Company. However, a usage fee may occur in cases where the cost to operate the Service increases. The Company shall announce on its website as well as send notices to the User at least 3 months before the first day from when the fee is charged. Once a fee is incurred, only the User who agrees to pay the fee shall be able to use the Service. Please note that any User who does not agree may be deleted from this platform.

This Agreement is construed under the laws of Japan.

Any dispute arising out of or in connection with this contract or the Service shall be subject to the exclusive jurisdiction of the Sapporo Court in the first instance.

The Company may change these terms of use. Please note that all the terms may be changed without giving any prior notification. If a change is made, the Company shall put up the revised terms of use on its website.

本規約は、オートグラフ合同会社が運営 するimagehokkaidoが提供する写真・ 動画ダウンロードサービスプラット フォーム(以下「本サービス」といいます。)を利用するにあたり必要な条件を 定めることを目的とします。

本サービスの利用を希望する者(以下 「利用者」といいます。)は、本規約の内容及び本サービスのプライバシーポリシーの内容を承諾の上、当社所定の手続きにより、本サービスの利用登録の申込みをするものとします。

次の各号に掲げる者は、本サービスの利用登録をすることができません。

(1)

過去に本規約に違反したことまたは解除されたことがある者

(2)

暴力団、暴力団員、暴力団員でなくなった時から5年を経過しない者、暴力 団準構成員、暴力団関係企業、総会屋、社会運動等標ぼうゴロ、特殊知能暴力集団その他これに準ずる者(以下総称して 「反社会的勢力」といいます。)

(3)

次の関係を有する者

ア

反社会的勢力がその経営を支配していると認められる関係

イ

反社会的勢力がその経営に実質的に関与していると認められる関係

ウ

自らもしくは第三者の不正の利益を図る目的、または第三者に損害を与える目的をもって反社会的勢力を利用してい ると認められる関係

エ

反社会的勢力に対して資金等を提供し、または便宜を供与するなど反社会的勢力の維持、運営に協力し、または関与 している関係

オ

反社会的勢力との社会的に非難され るべき関係

(4)

前各号のほか当社が不適当と認める者

本プラットフォーム内の写真及び動画の著作権は、当社、または、提供者であるクリエイターが所有しています。これらの写真及び動画を使用する際には、写真及び動画に近接した場所にクレジットを 記載する必要があります。

利用者は、本プラットフォームの写真及び動画について、当社ウェブサイト上記載の「よくある質問」のとおり、原則として自由に編集や加工をすることができます。ただし、次の各号に定めるような 著しい改変行為を禁止します。

(1)

写真及び動画のモデルだけを切り 取って使うこと(例えば、SNSやブログ 等のアイコンとして使うこと)

(2)

写真及び動画に映り込んでいる商品や建物のことさら一部を対象として消したり、商品名や看板名を消したりすること

利用者は、次の各号に掲げる行為を行わないものとします。

(1)

特定の被写体の切り取りやトリミングをすることで、被写体の肖像権、人格権、パブリシティ権、商標権、著作権その他の権利を侵害するような利用をする こと

(2)

自ら撮影した作品として、または著作権を持たない第三者の作品として公開・公表(SNSでの投稿を含む。)すること

(3)

被写体が特定の宗教・政党(政治)・ 思想(団体)等に所属・賛否しているような印象を与える使用

(4)

アダルトサイトや出会い系サイトへの利用

(5)

他人(他社)を中傷する内容の記事やブログへの使用

(6)

反社会的勢力や詐欺などの違法行為に関わる利用

(7)

素材自体をコンテンツ・商品として再 配布・販売すること

(8)

類似のフォトストックサイト等への 転載(転売を含む)

(9)

その他本サービス管理者または当社 が不適切と判断した場合

利用者は、当社所定の手続きにより、本サービスの利用契約を解約することができます。ただし、利用契約が終了しても、すでにダウンロード済みの写真及び映像に対して、本規約に定める条項 の効力は失われません。

利用者が本規約に反する行為または当社が本サービスの趣旨・目的に反すると判断した行為を行った場合には、当社 は、催告による注意喚起、または何らの催告も要することなく直ちに利用者による本サービスの利用を停止し、利用契約の全部または一部を解除することができるものとします。この場合、当社の利用者に対する損害賠償の請求を妨げないこととします。

当社は、故意または重大な過失がある場合を除き、当プラットフォームの写真・動画を利用することによって発生したトラブルについては一切、損害賠償責任を負いかねます。

利用者は、第5条に掲げる禁止事項に該当する行為を行った場合、違反行為に該当するコンテンツ1点につき10万円を違約金としてお支払いいただきます。ただし、当社が被った損害金額が10万円を超過した場合は、超過分を請求できるものとします。

利用者は、第4条に掲げる禁止事項以外の行為によっても、当社に損害を与えたときは、その損害を賠償するものとします。

本サービスは、利用者が個人であれば利用者以外と、組織であれば組織内以外の第三者とアカウントを共有することを禁止します。

利用者は、本サービスのアカウントを第三者に譲渡することができません。

本サービスは、利用者の紹介または当社に直接申し込む方法により、利用することができます。ただし、その利用にあたっては、当社独自の審査基準に基づ いて判断をし、お断りする場合もあります。

前項の審査基準、またはその審査基準による個別的な結果の判断内容については、お答えすることはできません。

本サービスは、当社と利用契約を締結することにより、無料で利用することができます。しかし、本サービスにおける運 営上のコストの増加等の事情の変更があった場合、ご利用料金が発生する場合があります。その際には、料金発生日から3か月前までに当社ウェブサイト上に その旨を告知するとともに、利用者へ連 絡します。料金の発生後は、利用料金の支払いに合意した利用者のみが本サービスを利用することができるものとし、合意に至らなかった利用者は本サービスの 解約となる場合があります。あらかじめ ご了承ください。

本規約は、日本法に基づき解釈されるものとします。

本規約及び本サービスに関する一切の紛争については札幌裁判所を第一審の専属的合意管轄裁判所とします。

当社は、本規約を変更することができます。全ての規約は予告無く変更する場合がありますので予めご了承下さい。本規約を変更する場合、当社は、当社のウェブサイトにて変更後の本規約を告知します。
